End User Licence Agreement

 

1.    Grant of Licence

The University of Buckingham (“University”) grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the course materials, content and resources (the "Content") through the LearnWorlds platform.

This licence is granted solely for your personal, non-commercial educational use.

 

2.    Intellectual Property Ownership

All intellectual property rights in the Content are owned by or licensed to the University.

You acknowledge that:

(a)  the Content is licensed, not sold, to you;

(b)  you do not acquire any ownership rights in the Content; and

(c)  all rights not expressly granted are reserved.

The Content is protected by applicable intellectual property laws, including copyright laws.

 

3.    Permitted Use

You may:

  • access and view the Content for your personal learning; and
  • download or print limited extracts only where expressly permitted within the platform.


 

4.    Restrictions on Use

You must not, except where expressly permitted or required by law:

  • copy, reproduce, or store the Content beyond what is necessary for normal use;
  • share, distribute, or make the Content available to any third party;
  • sell, license, or use the Content for commercial purposes;
  • create derivative works or adaptations of the Content;
  • reverse engineer or attempt to extract source materials or structure;
  • share your login credentials or allow unauthorised access;
  • remove or alter copyright or proprietary notices;
  • use the Content in any unlawful manner or in a way that infringes third-party rights.


 

5.    Acceptable Use

You agree to use the platform and Content in a manner consistent with:

  • applicable laws and regulations; and
  • any policies or guidance issued by the University.


The University reserves the right to suspend or restrict access where misuse is reasonably suspected.

 

6.    Confidentiality

Certain Content may be confidential or proprietary.

You agree not to disclose, share, or circulate such Content without prior written consent from the University, except where disclosure is required by law.

 

7.    Accuracy and Educational Purposes

The Content is provided for general educational purposes only.

While reasonable care is taken in its preparation, the University does not guarantee that the Content is accurate, complete, or up to date.

You should not rely on the Content as professional, legal, or other regulated advice.

 

8.    Platform Use

The Content is made available to you through the platform operated by LearnWorlds (the “Platform”), which is owned and controlled by a third-party provider.

Your use of the Platform must comply with any applicable terms governing its use, as well as this Agreement.

You must not, except where expressly permitted or required by law:

  • copy, modify, adapt, or create derivative works of the Platform or any part of it;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Platform;
  • attempt to bypass, disable, or interfere with any security features or technical measures of the Platform;
  • use automated tools (including bots or data extraction technologies) to access or extract information from the Platform;
  • attempt to gain unauthorised access to any part of the Platform, or to systems or networks connected to it.


You acknowledge that the Platform, including its software and underlying technology, is protected by intellectual property rights owned by or licensed to the Platform provider.

The University is not responsible for the operation or availability of the Platform but will use reasonable endeavours to ensure continued access to the Content.

Any breach of this clause may result in suspension or termination of your access to the Content.

 

9.    Limitation of Liability

Nothing in this Agreement excludes or limits liability where it would be unlawful to do so, including liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation; or
  • any other liability that cannot be excluded under applicable law.


Subject to the above, the University shall not be liable for:

  • indirect or consequential loss;
  • loss of profits, business, or opportunity; or
  • any loss arising from reliance on the Content.


The University’s total liability shall be limited to the amount (if any) paid by you for access to the Content.

 

10.Suspension and Termination

The University may suspend or terminate your access:

  • where you breach this Agreement;
  • where required to comply with legal or regulatory obligations; or
  • for operational reasons, on reasonable notice where practicable.


Upon termination, you must cease use of the Content and delete any copies in your possession.

 

11.Changes to this Agreement

The University may update this Agreement from time to time.

Where changes are material, you will be notified and may be required to re-accept the updated terms before continuing to access the Content.

 

12.Entire Agreement

This Agreement constitutes the entire agreement between you and the University relating to the Content and supersedes all prior understandings.

 

13.Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.Governing Law and Jurisdiction

This Agreement shall be governed by the laws of England, and the courts of England shall have exclusive jurisdiction.

16.Acceptance

By ticking the acceptance box and accessing the Content, you confirm that you:

  • have read and understood this Agreement; and
  • agree to be legally bound by its terms.
